Terms of Service

Welcome to Nexus ("Platform", "Service"), operated by AIO Inc. ("Company", "we", "us", "our"). By accessing or using Nexus, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Service Description

Nexus is a software-as-a-service (SaaS) platform providing tools for licensed real estate professionals, including but not limited to:

• AI-powered Comparative Market Analysis (CMA) generation
• Customer Relationship Management (CRM)
• AI-assisted listing description creation
• Transaction management tools
• Marketing and lead generation tools

Nexus is a technology platform — not a real estate brokerage, appraisal firm, or Multiple Listing Service (MLS). We do not provide real estate advice, appraisal services, or brokerage services.

2. User Eligibility

To use Nexus, you must be a licensed real estate professional (agent, broker, or appraiser) in good standing with your state's regulatory body, or be working under the direct supervision of a licensed professional. By creating an account, you represent and warrant that you meet this requirement. We reserve the right to verify your license status and suspend or terminate accounts that do not meet eligibility requirements.

3. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with any other person

4. AI-Generated Content Disclaimer

Nexus uses artificial intelligence to generate CMAs, listing descriptions, market analyses, and other content. You acknowledge and agree that:

• You are solely responsible for reviewing all AI-generated content before using, publishing, or sharing it with clients or other parties.
• AI-generated content may contain errors, inaccuracies, or omissions. The AI is a tool — not a licensed professional.
• AI-generated CMAs are not appraisals and must not be represented as such.
• You assume full professional responsibility for any content you distribute that was generated by or through the Platform.

5. Fair Housing Compliance

You agree that you will not use Nexus to violate the Fair Housing Act (42 U.S.C. §§ 3601-3619), the Texas Fair Housing Act, or any other applicable fair housing laws. Specifically, you agree not to use the Platform to:

• Discriminate based on race, color, national origin, religion, sex, familial status, or disability
• Generate, modify, or distribute marketing materials that contain discriminatory language or steering content
• Use Platform data or tools to engage in discriminatory practices in the sale, rental, or financing of housing

Nexus includes Fair Housing compliance screening in its AI tools. However, you remain ultimately responsible for ensuring all content you produce complies with applicable fair housing laws.

6. TREC Compliance

If you are licensed in Texas, you are responsible for ensuring that all marketing materials, advertisements, and communications produced using Nexus comply with Texas Real Estate Commission (TREC) rules, including but not limited to:

• §535.154-155: All advertising must include the broker's name as registered with TREC and applicable license numbers.
• Written buyer representation agreements: As required under SB 1968 (effective January 1, 2026), you must have a written buyer agreement in place before showing residential property.
• IABS form: You are responsible for providing the Information About Brokerage Services form as required by TREC rules.

Nexus provides tools to help you comply — but compliance is your professional obligation.

7. Data Ownership

Your Data

You own all data you input into Nexus, including client information, property data, notes, transaction records, and any content you create. We do not claim ownership of your data.

Data Portability

You may export all of your data at any time through the Platform's export functionality. Your data belongs to you — if you leave Nexus, your data leaves with you.

License to Us

By using the Service, you grant AIO Inc. a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service. We will never sell your data to third parties.

8. Subscription Terms & Billing

Free Tier

Nexus offers a limited free tier that includes a set number of AI CMA reports. No credit card is required for the free tier.

Paid Subscriptions

Paid plans are billed monthly or annually at the rates displayed at the time of purchase. All fees are in U.S. dollars. Prices may change with 30 days' notice.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You retain access to paid features through the end of your current billing period.
• No refunds are issued for partial billing periods.
• Your data remains accessible and exportable for 90 days after cancellation, after which it may be deleted.

Refunds

We do not offer refunds for partial months or unused portions of a subscription period. If you believe you were charged in error, contact us at legal@go-nexusmls.com.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Nexus is provided "as is" and "as available" without warranties of any kind, either express or implied.
• AIO Inc. is not liable for any decisions you make based on AI-generated content, CMA reports, or any other output of the Platform.
• Nexus is a tool — not legal advice, appraisal advice, tax advice, or brokerage advice. Consult appropriate licensed professionals for such matters.
• In no event shall AIO Inc.'s total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
• AIO Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action.

10. Indemnification

You agree to indemnify, defend, and hold harmless AIO Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms or any applicable law or regulation
• Content you create, modify, or distribute using the Platform
• Your interactions with clients, customers, or third parties
• Any claim that content you produced using the Platform violates fair housing laws, TREC rules, or other regulations

11. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Reverse engineer, decompile, or disassemble any part of the Platform
• Attempt to gain unauthorized access to the Platform or its related systems
• Use automated tools to scrape, crawl, or extract data from the Platform
• Interfere with or disrupt the integrity or performance of the Platform
• Impersonate any person or entity or misrepresent your affiliation

12. Modification of Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your account if you violate these Terms, if your license is revoked or suspended, or if we reasonably believe your use of the Platform poses a risk to other users or to us. Upon termination, you may export your data within 90 days.

14. Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AIO Inc. regarding the use of Nexus.
